구독자 부록

  1. 이 부록은 미래에셋증권 (“배포자”)과 귀하 (“구독자”) 사이간의 계약입니다. (“구독자 부록”). 배포자와 구독자는 각각 “당사자”이며, 집합적으로 “당사자들”이라고 칭함.

1. 배경

  1. (A) 배포자는 Chicago Mercantile Exchange Inc(또는 그 후임자 또는 양수자)("CME")와 계약을 체결했으며, CME Group은 배포자(CME가 승인한 배포자의 다른 계열사 포함 (총칭하여 "배포자 그룹"))에게 CME가 부여한 특정 시장 데이터 및 기타 금융 정보("CME 라이선스 정보")를 수신하고 이를 구독자와 구독자의 특정 계열사(공급업체와 구독자 간에 합의한 대로)("구독자 그룹")에 재전송할 권리를 부여함.
  2. (B) 이에 따라 배포자와 구독자는 계약을 체결하여, 배포자 그룹은 구독자 그룹에 CME 시세 정보를 제공할 수 있음. 동일한 계약에 따라 CME가 다른 거래소로 부터 재라이선스를 취득한 시장 데이터를 포함할 수 있음. ("배포 계약").
  3. (C) 본 구독자 추가 조항은 배포 계약에 대한 부록으로 구독자 그룹이 CME 라이선스 정보를 수신하고 접근할 수 있는 부록이지만, 배포 계약에 따라 CME 외의 다른 거래소를 대신하여 구독자 그룹에 재라이선스될 수 있는 다른 시장 데이터에는 적용하지 않음.

  4. 따라서 여기에 명시된 상호 약정과 합의를 고려하여, 그리고 그 외에 유효하고 가치 있는 대가를 제공받고 충분함을 본 계약서에서 인정함에 따라, 당사자들은 다음과 같이 합의함.

2. 정의

  1. 아래 정의는 본 구독자 부록에 명시된 조건에만 적용되며 다른 목적으로 배포 계약을 수정하지 않습니다. 본 구독자 부록에 사용된 다른 모든 대문자 용어는 달리 명시되지 않는 한 배포 계약에 정의된 것과 동일한 의미를 갖음.
  2. 계열사(Affiliate): 당사자를 통제하거나, 당사자의 통제를 받거나, 당사자와 공동 통제를 받는 법인을 의미함. 통제는 최소 50% 이상의 의결권이 있는 주식(또는 기타 증권 또는 권리)의 소유 또는 통제를 의?함.
  3. 자동 거래 시스템 (Automated Trading System): 배포자가 운영하는 시스템 또는 소프트웨어에서 주문을 전자적으로 생성하고/또는 전송하는 데 있어 사람의 개입이 거의 없거나 전혀 없는 전자적방식 의미함.
  4. 벤치마크 정보(Benchmark Information): CME가 정보 정책에서 벤치마크 정보로 지정한 CME 라이선스 정보를 의미함.
  5. CME 그룹 (CME Group): CME 및 그 계열사.
  6. CME 라이선스 정보 상품(CME Licensed Information Product): 정보 요금표에 명시된 대로 특정 상품들을 하나의 상품으로 묶은 라이선스 정보를 의미함.
  7. 기밀 정보(Confidential Information): 본 구독자 부록과 관련하여 배포자와 구독자가 공개한 모든 정보로, 본 계약의 성격과 공개 방식에 따라 기밀로 간주되어야 하며 이는 CME 라이선스 정보를 포함하되 이에 국한되지 않음.
  8. 일(Day): 달력에 표시되는 날짜.
  9. 장치(Device): 고정형 또는 휴대용 디스플레이 장치로 서비스를 통해 CME 라이선스 정보의 전체 또는 일부를 접근, 수신, 처리 또는 표시할 수 있는 장치임. CME는 무엇이 장치에 해당하는지 단독으로 결정할 권리를 가짐.
  10. 배포자 그룹(Distributor Group): 배포자 및 그 계열사.
  11. 선물 및 선물옵션 정보(Futures and Options on Futures Information): 상품 거래소법 1936(개정 및 업데이트됨) 또는 기타 동등한 법률에 정의된 지정 계약 시장(DCM)에서 유래한 CME 라이선스 정보. DCM에는 CME, NYMEX, COMEX, CBOT 및 DME DCM이 포함하되 이에 국한되지 않음.
  12. 정보 정책(Information Policies): CME 웹사이트(현재 www.cmegroup.com/informationpolicies에 있음)에 명시된 CME 라이선스 정보 정책. 사이트 주소는 수시로 변경될 수 있음.
  13. 정보 제품 요금표(Information Product Fee Schedule): 배포자가 CME 및 관련 요금을 대신하여 구독자에게 발행하는 문서로, CME라이선스 정보에 대한 세부사항과 요금을 명시함.
  14. 내부 통제(Internal Controls): 전자 시스템(소프트웨어 및 하드웨어 포함), 네트워크 구성, 규칙, 절차 및 정책이 다음 CME거래소의 충족 사항을 만족시켜야 함. (i) CME 라이선스 정보에 대한 접근 권한을 식별하고, (ii) 특정 카운트 단위를 사용하여 CME 라이선스 정보에 대한 접근을 허용하며, (iii) CME 라이선스 정보에 대한 무단 접근을 방지하고, (iv) 앞서 언급된 사항에 대한 감사 가능한 기록을 유지 하여야함.
  15. 지적 재산권(Intellectual Property Rights): 특허, 상표, 서비스 마크, 상호 및 서비스 이름, 도메인 이름, 저작권, 지형 권리, 데이터베이스 권리, 디자인 권리, 영업 비밀 및 기타 지적 재산, 소유권 또는 도덕적 권리로, 전 세계 어디에서나 등록 여부 관계없이 등록 신청과 등록 신청 권리 등 유사하거나 동등한 권리를 지적재산권으로 인정함.
  16. 관리사용자 비표시(Managed User Non Display): CME가 승인한 서비스로, 개인 구독자가 CME 라이선스 정보를 화면에 표시하지 않고 사용할 수 있도록 지원하는 서비스.
  17. 비표시 용도(Non-Display Use): CME 라이선스 정보를 표시하거나 표시를 위해 배포하는 것 외에 시스템, 프로세스, 프로그램, 기계 또는 계산에서 CME 라이선스 정보를 미표시 방식으로 사용하는 용도. 이는 손익 계산, 포트폴리오 평가, 주문 처리, 자동 거래 시스템 내에서의 주문 전송등이 포함될 수 있지만 이에 국한되지 않음.
  18. 개인(Person): 개인, 개인 사업자, 법인, 파트너십, 유한 책임 회사 또는 기타 조직을 의미함.
  19. 개인 정보(Personal Data): 식별되거나 식별 가능한 개인과 관련된 모든 정보.
  20. 개인정보 보호 센터(Privacy Center): CME 웹사이트( http://www.cmegroup.com/privacy-policy.html)에 확인가능. CME Group Inc 의 웹사이트 주소는 수시로 변경될 수 있음.
  21. 서비스(Service): 배포자 또는 배포자 그룹이 제공하거나 대신 제공하는 모든 매체에세 제공되는 CME 시세 정보.
  22. 보고 단위(Unit of Count): 시세 사용자 보고에 사용되는 측정 단위. CME에서 달리 지시하지 않는 한, CME 라이선스 정보와 관련하여 기본 계산 단위는 장치 당 입니다. 만약 하나의 장치에서 여러 서비스에서 접근할 수 있도록 구성된 경우 해당 장치에서 서비스에 접근할 수 있는 각 서비스가 보고 단위가 됨. 예를 들어, 한 개의 노트북에서 3개의 서비스를 실행하는 경우 3개 보고 되어야 함.
  23. 문맥상 달리 요구되지 않는 한: ● 단수형은 복수형를 포함하며, 그 반대도 마찬가지임
    ● 어느 한 성별을 지칭하는 단어는 다른 성별을 포함하며, 그 반대도 마찬가지임
    ● "포함하다"라는 단어는 "제한 없이 포함한다" 또는 "포함하되 이에 국한되지 않는다"라는 의미로 해석됨
    ● 제목은 참조 목적으로만 사용되며, 본 구독자 부록의 해석에 영향을 미치지 않음.

3. 구독자 부록 기간

  1. 3.1 본 구독자 부록은 CME 라이선스 정보가 배포자로부터 구독자 그룹 법인에 처음 제공된 날짜부터 발효되며 본 조항에 따라 종료될 때까지 유효함("구독자 부록 기간").

4. 구독자 그룹의 CME 라이선스 정보 수신

  1. 4.1 본 구독자 부록에 따라, 구독자 부록 기간 동안 구독자 그룹은 서비스를 통해 CME 라이선스 정보에 접근할 수 있으며, 내부 비즈니스 활동을 위해 CME 라이선스 정보를 장치에 사용할 수 있음.
  2. 4.2 CME 라이선스 정보를 비표시 방식으로 사용하려면 CME와 직접 라이선스 계약이 필요함.

5. 내부 통제

  1. 5.1 구독자는 (본인 및 구독자 그룹을 대표하여) 배포자와 CME에 대해 구독자 부록 기간 동안 구독자 그룹이 CME의 정보 정책에 따라 항상 효과적인 내부 통제를 시행하고 유지하며 CME의 보고 단위에 맞게 보고를 진행하며 내부 통제의 운영에 대한 감사 가능한 증거를 유지하고 구독자가 항상 해당 정보 정책을 숙지해야 하는 것을 보증해야 함.

6. CME 라이선스 정보

  1. 6.1 구독자는 구독자 그룹을 대표하여 다음 사항을 인정하고 동의함:
  2. (a) 구독자 그룹은 구독자 그룹 외 외부로 CME 라이선스 정보를 재배포하지 않음. 그럼에도 불구하고 구독자 그룹 내의 어떤 법인이 CME 라이선스 정보를 구독자 그룹 외 외부로 배포하려는 경우, 구독자는 CME로부터 직접 허가를 받아야 함. CME가 해당 요청을 승인할 경우(전적으로 CME의 재량에 따름), 각 해당 구독자 그룹 법인은 CME와 별도의 라이선스 계약을 통해 CME 라이선스 정보를 배포할 권리를 직접 취득 해야 함.
  3. (b) 구독자 그룹은 CME 라이선스 정보를 왜곡하거나 CME 라이선스 정보와 함께 전송된 상표를 훼손하거나 제거해서는 안됨.
  4. (c) 구독자 그룹은 불법적인 목적으로 CME 라이선스 정보에 접근하거나 이를 이용하지 않을 것이며, 각 구독자 그룹 법인이 운영하는 관할지의 법률 및 규정을 준수하여 CME 라이선스 정보에 접근하거나 이를 이용할 것임을 동의함.
  5. (d) 구독자 그룹은 CME 라이선스 정보 또는 그 일부를 파생 상품(금융 상품, 지수, 시세, 현물 가격, curve, surface, 차액결제거래 및 기타 레버리지 상품, 선물, 선물 옵션, IOPV, 순자산 가치, 분석참고수치 또는 CME 라이선스 정보를 이용하여 포트폴리오 관리, 리스크 관리, 가치 계산 등)의 생성, 배포, 결제 또는 유지 관리에 사용할 수 없음. 단, 구독자 그룹이 CME로부터 해당 용도의 라이선스를 취득 받는 경우는 예외임.
  6. (e) CME와 CME 라이선스 제공자는 CME 라이선스 정보 및 CME 라이선스 정보의 지적 재산권, 그리고 CME가 전송하는 CME 라이선스 정보의 형식에 대한 모든 권리, 소유권 및 이익을 보유함. 이 구독자 부록에서 명시적으로 부여된 제한적 라이선스를 제외하고, 본 조항에 명시되지 않은 모든 권리는 CME와 CME의 라이선스 제공자에게 명시적으로 유보되며, CME 그룹 법인과 기타 CME 라이선스 제공자의 소유권 및 지적 재산권은 본 구독자 부록에 의해 어떠한 방식으로도 이전, 양도 또는 영향을 받지 않음. 구독자는 구독자 그룹이 EU 지침 2017/790에서 정의한 텍스트 및 데이터 마이닝을 수행하지 않도록 보장함. 구독자는 구독자 그룹을 대표하여 CME 및 CME 라이선스 제공자의 권리 유보가 본 구독자 부록에 적절하다는 것을 인정함.
  7. (f) CME 그룹이 개인정보 보호 센터에 설명된 대로 개인 데이터를 사용하는 데 동의하고, 각 가입자 그룹 엔터티가 개인 데이터가 관련된 개인으로부터 유효한 동의를 얻었거나 모든 해당 법률에 따라 해당 법적 근거를 충족하여 CME 그룹이 이 가입자 추가 조항에 따라 구상된 대로 해당 법률에 따라 개인 데이터를 처리할 수 있도록 했다는 것을 CME 그룹에 진술하고 보증합니다. 구독자는 개인정보를 제공한 국가가 아닌 다른 국가로 구독자 그룹에서 CME 그룹으로 개인 정보를 전송하는 경우 모든 관련 법률이 충족될 수 있도록 보장 해야함.
  8. (g) 만약 CME가 상기 6.1 (a) 조항에 따라 구독자 그룹에게 CME 라이선스 정보를 재배포할 수 있도록 허용할 경우, 구독자 그룹은 미국 재무부 해외자산통제국(OFAC)의 포괄적 제재 대상 국가에 위치한 단체나, 미국 재무부의 특별 지정 제재 대상 및 차단된 인물 목록(Specially Designated Nationals and Blocked Persons List)에 등재된 단체에 CME 라이선스 정보를 배포하거나 배포를 허용할 수 없음.
  9. (h) 구독자 그룹은 벤치마크 정보를 하나 이상의 장치에서 디스플레이하는 용도외에 사용할 수 없음.
  10. (i) 구독자가 CME 라이선스 정보의 관리 사용자 비표시(Managed User Non-Display)에 대한 라이선스를 가지고 있는 경우(벤치마크 정보는 포함되지 않음), 구독자는 별도의 라이선스를 취득하지 않는 경우 장치에서 CME 라이선스 정보를 표시용도로 이용하거나 라이선스 정보를 이용한 파생 작업 등 본래의 목적을 벗어나는 용도로 사용할 수 없음.
  11. 6.2 구독자는 구독자 그룹이 본 구독자 부록의 조건을 준수하도록 책임을 지고, 구독자 부록 조항조건들을 준수하도록 함.

7. 구독자 보고 의무

  1. 7.1 구독자 그룹은 CME 라이선스 정보에 접근할 수 있는 모든 단위와 관련된 완전하고 정확한 장부와 기록("기록")을 유지해야 하며, 최근 5년(5) 동안 해당 기록을 보관해야 함.
  2. 7.2 선물 및 선물 옵션 정보에의 기본 보고 단위는 항상 장치임. (CME에서 달리 알리지 않는 한).
  3. 7.3 구독자가 배포자에 보고해야 하는 기타 보고 단위 외에도 (구독자가 CME와 직접 합의하지 않은 한) 구독자는 구독자와 배포자(또는 해당되는 경우 가입자와 CME) 간에 합의한 날짜에 배포자(또는 요청 시 CME에 직접)에 CME 라이선스 정보에 접근할 수 있는 장치의 최대 개수를 매월 보고해야 함. 예를 들어, CME 라이선스 정보가 선물 및 선물 정보 옵션을 구성하는 경우 가입자가 CBOT DCM에 접근할 수 있는 10개(10)의 장치를 보유하고 있고 해당 장치 중 5개(5)가 NYMEX DCM에도 접근할 수 있는 경우 구독자는 CBOT에 대해 10개의 장치를 보고하고 NYMEX에 대해 5개의 장치를 보고해야 함.
  4. 장치가 CME 라이선스 정보의 기본 단위일 때, 다음 규칙이 적용됨:
  5. (a) 구독자 그룹은 내부 통제에 의해 CME 라이선스 정보에 접근이 승인 된 장치 당 서비스의 총수를 보고해야 하며, 해당 장치가 실제로 CME 라이선스 정보에 접근했는지 여부는 중요하지 않음.
  6. 예시) 3개의 서비스를 실행하는 노트북은 3개의 장치로 보고해야 함.
  7. (b) 구독자 그룹이 "사용 기반" 기록 시스템을 사용하여 장치 수를 계산하고 보고하는 행위는 엄격히 금지되어 있음.
  8. (c) 동일한 장치를 표시 및 비표시 용도로 모두 사용하는 경우, 구독자 부록 조건에 따라 구독자가 배포자에게 해당 장치를 보고하더라도 구독자는 비표시 사용에 대해서는CME로부터 직접 라이선스를 취득해야하는 의무가 면제되지 않으며(구독자가 관리사용자 비표시에 대해 배포자에게 직접 라이선스를 부여받은 경우 제외) 비표시 용도 사용 활동에 대한 추가 보고 의무도 면제되지 않음.
  9. (d) 여러 장치에서 CME 라이선스 정보를 동시에 접근 할 수 있도록 동시접속이 허용된 경우, 구독자는 각 서비스별로 CME라이선스 정보에 접근할 수 있도록 활성화된 장치의 총 수를 보고해야함.

  11. (e) 구독자 그룹은 CME의 명시적 서면 허가 없이 장치 대신 서비스 수 또는 사용자 수를 보고하는 것은 엄격히 금지됨.
  12. 7.4 구독자는 CME 라이선스 정보에 접근이 가능하나 미보고 단위에 대해서는 CME와 배포자에게 책임을 져야 함.

8. 감사

  1. 8.1 배포 계약의 조항에도 불구하고, 구독자 부록의 기간 동안과 계약해지 후 최소 24개월 동안은 구독자는 최근 5년 동안의 내부 통제와 관련된 기록 및 정확한 장부를 요청시 제출해야 함. 배포자 또는CME 혹은 거래소가 임명한 대리인(“감사자”)은 이 구독자 부록 준수 여부를 확인하기 위해 장비, 소프트웨어 및 기록을 검사할 수 있음.
  2. 8.2 감사자는 구독자 부록 기간 및 해지 후 최대 24개월 동안, 영업 시간동안 구독자 그룹이 상주하는사무실에서 감사를 수행 할 수 있음.
  3. (a) 연 12개월마다 한 번 최소 30일 전에 통지를 해야 하며
  4. (b) 배포자 또는 CME는 구독자 법인이 구독자 부록의 조항을 위반했다는 합리적인 의심이 들 경우, 사전통지없이 12개월동안 한번 이상 감사를 수행할 수 있음. 감사 중에 관찰된 모든 정보는 본 계약의 기밀 유지 조항에 따라 취급되며, 구독자 부록의 준수 여부를 확인하기 위한 목적으로만 사용됨. CME, 배포자 또는 그 대리인은 감사기간 동안 구독자 그룹의 사무실에 상주하여 있을 경우 항상 구독자의 합리적인 안전 및 보안 규칙과 규정을 준수해야 함.
  5. 8.3 감사에서 미납금을 징수 받게 되면 구독자는 CME 또는 배포자로부터 청구서를 받은 후 30일 이내에 해당 요금을 납부해야 하며, 납기일을 초과시 월 1.5% 또는 법이 허용하는 최대 이율 중 낮은 이율의 이자가 부과됨.
  6. 8.4 감사자가 감사기간동안 구독자그룹이 장부를 제대로 관리하지 않았거나 내부 통제가 제대로 실행되지 않아 발생한 미납금에 대해 합리적인 확실성을 가지고 비용을 산정할 수 없거나 당사자 간에 합의가 이뤄지지 않는 경우, CME 또는 배포자는 독립적인 전문 감사자를 임명하여 배포자나 CME에 지불할 요금을 결정하도록 할 수 있으며, 이에 대한 비용은 구독자가 전적으로 부담함. 배포자나 CME 및 구독자는 임명된 독립적인 전문 감사자의 결정을 받아들여야 함.
  7. 8.5 감사에서 미납이 확인되면, 구독자는 감사의 합리적인 비용과 경비를 부담해야 함.

9. 계약해지

  1. 9.1 구독자와 배포자 중 한쪽은 본 구독자 부록 또는 개별 라이선스를 해지할 수 있음.
  2. (a) 30일 전 서면으로 해지요청; 또는
  3. (b) 다음의 경우 서면 통지로 해지가 가능
  4. (i) 상대방이 강제 또는 자발적으로 청산절차에 돌입하거나, 수탁 관리자가 임명되거나, 파산 청원을 제출하는 경우(또는 채권자가 해당 청원을 제출하는 경우); 또는
  5. (ii) 상대방이 본 구독자 부록의 조항을 중대하게 위반하고, 그 위반이 치유 불가능한 경우, 특히 구독자의 다음과 같은 위반이 포함되지만 이에 국한되지 않음: CME 라이선스 정보의 허위 진술, 내부 통제의 실패, CME 라이선스 정보의 무단 사용, 배포 또는 재배포를 방지, 식별 또는 종료하지 못한 경우; 또는
  6. (iii) 상대방이 서면 통지 후 30일 이내에 중대한 위반사항을 시정하지 못한 경우.
  7. 9.2 이 구독자 부록 또는 개별 라이선스는 배포자가 CME 라이선스 정보를 재배포할 권리가 일부 또는 전부 취소되는 경우 즉시 자동으로 종료됨.
  8. 9.3 본 구독자 부록은 배포 계약 자체가 만료되거나 어떤 이유로든 종료되는 경우 자동으로 종료됨.

10. 요금

  1. 10.1 구독자는 배포 계약 조건에 따라 CME 라이선스 정보를 수신할 수 있으며, 배포자에게 요금을 지불해야 함.
  2. 10.2 본 계약에 따라 구독자는 라이선스된 CME 라이선스 정보에 대한 접근 및 사용을 위해 CME에 직접 비용을 지불해야 할 수도 있음. 이러한 경우 CME에 지불된 모든 수수료는 CME와 구독자 간의 별도의 서면 계약에 의해 규정되며, 벼로 계약에 명시된 CME 라이선스 정보의 수신에만 적용되고 배포 계약에 따라 구독자 그룹이 수신하는 다른 시장 데이터에는 적용되지 않음.

11. 구독자의 계약, 진술 및 보증.

  1. 11.1 구독자는 자신과 구독자 그룹의 나머지 구성원을 대표하여 다음을 계약, 진술 및 보증함
  2. (a) 구독자 그룹은 (CME가 서면으로 달리 승인하지 않는 한) CME 라이선스 정보의 배포 사업에 종사하지 않으며, CME 라이선스 정보를 CME가 허가한 배포업체로부터 만 CME 라이선스 정보를 수신하고 있음.
  3. (b) 구독자 그룹은 CME 라이선스 정보를 불법적인 목적으로 사용하거나 타인이 사용하도록 허락하지 않으며, 구독자 그룹의 각 구성원은 자신이 활동하는 관할 구역의 법률과 규정에 따라 CME 라이선스 정보에 접근하고 이를 사용함.

12. CME 그룹의 제3자 수익자

  1. 12.1 배포자와 구독자는 CME 그룹(단독)이 본 구독자 부록의 제3자 수익자임을 인정하고 동의하며, CME 그룹은 본 구독자 부록에서 제공되는 모든 권리와 혜택을 누릴 자격이 있고, 마치 계약 당사자인 것처럼 배포자와 구독자 그룹에 대해 본 구독자 부록의 조항을 직접 집행할 수 있음.

13. 책임 및 손해

  1. 13.1 구독자(구독자 그룹을 대표하여) 및 배포자(배포자 그룹을 대표하여)는 다음에 사항을 동의함.
  2. (A) 법이 허용하는 최대 범위 내에서, CME 그룹 소속의 어떤 법인도, 그들의 임원, 이사, 회원, 직원, 대리인, 컨설턴트, 또는 라이선스 제공자는 다음 사항에 대해 책임을 지지 않음: (a) CME 라이선스 정보와 관련된 지연, 부정확성, 오류, 누락 또는 어떠한 종류의 중단에 대한 결과적 손실 또는 손해. (b) CME 라이선스 정보에 대한 무단 접근 또는 오용으로 인한 손실 또는 손해.
  3. (B) 본 조항에 명시된 사항을 제외하고, 어떤 CME 그룹 소속 법인도, 그들의 라이선스 제공자도 어떠한 명시적 또는 묵시적인 보증을 하지 않으며, CME 라이선스 정보의 상업성, 품질 또는 특정 목적에 대한 적합성, 서비스의 중단 또는 오류 없는 서비스, CME 라이선스 정보의 시간 순서, 적시성, 정확성 또는 완전성에 대한 모든 보증을 부인하고 책임지지 않음. CME 라이선스 정보는 구독자 그룹의 전적인 위험 부담 하에 "있는 그대로" 제공됨.

14. 기밀 유지

  1. 14.1 기밀 정보는 수령자가 이를 비밀로 유지하고, 공개자의 동의 없이 제3자에게 공개하지 않으며, 다만 CME 그룹 소속 법인, CME 그룹의 라이선스 제공자 및 배포자 그룹 또는 구독자 그룹 소속 법인과 그들의 대리인, 컨설턴트 및 제3자 자문가에게는 본 구독자 부록에 명시된 유사한 기밀 유지 조항에 따라 기밀 정보가 공개될 수 있음.

  2. 14.2 기밀 정보에는 다음과 같은 정보는 포함되지 않습니다.
  3. (a) 공개 시점에 이미 공개적으로 이용 가능한 정보;
  4. (b) 공개자가 공개하기 전에 이미 수령자가 알고 있는 정보;
  5. (c) 수령자의 잘못 없이 공개적으로 이용 가능하게 된 정보;
  6. (d) 다른 출처에서 제한 없이 수령자가 알게 된 정보;
  7. (e) 수령자가 공개자의의 기밀 정보를 사용하지 않고 독립적으로 개발한 정보; 또는
  8. (f) 법적 또는 규제 당국의 명령에 의해 공개가 요구되거나, 수령자에 대한 규제 권한을 가진 기관의 조치로 공개가 요청된 경우, 이 경우 수령자는 공개자에게 그러한 공개 요구에 대해 합리적인 통지를 제공하고, 그러한 공개를 방지하거나 제한하기 위해 공개자와 협력해야 함.

15. 수정

  1. 15.1 본 계약의 다른 조항에도 불구하고, 배포자와 CME는 때때로 본 구독자 부록을 수정하거나 변경할 수 있으며, 구독자는 통지를 받는 즉시 변경된 조건에 따를 것을 동의함. 구독자는 수정 또는 변경사항에 대해 10일 전 전자 또는 서면 통지를 통해 구독자 부록의 계약해지를 요청할 수 있음. 배포자나 CME가 구독자에게 수정을 통지한 후에도 CME 라이선스 정보를 계속 접근하거나 사용할 경우, 구독자는 구독자 그룹을 대신해 수정된 구독자 부록에 동의하는 것으로 간주됨.

16. 기타

  1. 16.1 본 구독자 부록의 일부, 조항 또는 규정이 불법, 무효 또는 집행 불가능한 것으로 판명되더라도, 나머지 구독자 부록의 유효성 또는 집행 가능성은 영향을 받지 않음.
  2. 16.2 어느 한 당사자(또는 CME 그룹을 포함하여)가 본 구독자 부록 또는 법률에 따른 권리나 구제책을 행사하지 않는다고 해서 그 권리나 구제책을 다시 행사할 수 없다는 것을 의미하지 않음.
  3. 16.3 구독자가 CME 라이선스 정보를 수령하고 사용하는 것과 관련된 다른 계약, 특히 배포자 계약과 본 구독자 부록의 조항이 충돌할 경우, 본 구독자 부록의 조항이 우선시 됨. CME는 정보 정책을 최소 30일 전에 수정 할 수 있으며, 배포자와 구독자는 서면으로 통지된 수정 사항을 준수해야 함.
  4. 16.4 구독자 부록 해지 시, 구독자 그룹은 CME 라이선스 정보의 사용을 중단하고, 본 구독자 부록에 따라 수신한 모든 CME 라이선스 정보를 삭제해야 함. 다만, 구독자 그룹은 규제 의무를 준수하기 위해 필요 시 CME 라이선스 정보를 보유할 수 있으며, 이 기간 동안 다른 목적으로 CME라이선스 정보를 사용할 수 없음.

17. 존속

  1. 17.1 정의 조항, 제12조(CME 그룹의 제3자 수익자 지위), 제13조(책임 제한 및 손해배상), 제17조(존속), 제18조(준거법 및 관할권), CME 라이선스 정보에 대한 CME의 지적 재산권과 관련된 조항 및 그 성격상 합리적으로 존속해야 할 조항, 그리고 위에서 언급한 조항에 대한 모든 수정 사항은 본 구독자 부록 계약이 종료되거나 만료된 후에도 존속됨.

18. 준거법 및 관할권

  1. 18.1 본 구독자 부록은 법률 충돌 원칙에 관계없이 일리노이 주 내부 법률 및 미국 연방 법률의 적용을 받음. 본 계약 당사자들은 일리노이 주 쿡 카운티에 위치한 주 법원과 일리노이 북부 지구 미국 연방 지방법원의 독점 관할권 및 관할지 법률를 따르고 동의함.
  2. 본 증거에 따라, 각 당사자는 그 명의로, 그리고 그를 대신하여 적법하게 권한을 부여 받은 임원 또는 대표자에 의해 본 구독자 부록이 적법하게 체결되었음을 증명함.

SUBSCRIBER ADDENDUM

  1. This addendum is by and between insert (“Distributor”) and insert (“Subscriber”) (the “Subscriber Addendum”). The Distributor and Subscriber are each a “Party” and collectively the “Parties”.

1. Background

  1. (A) Distributor has entered into an agreement with Chicago Mercantile Exchange Inc (or its successors or assignees) (“CME”) whereby CME Group has granted the Distributor (which may include certain other Affiliates of Distributor authorized by CME (collectively the “Distributor Group”)) the right to receive certain market data and other financial information licensed by CME, (the “CME Licensed Information”) and to retransmit the same to Subscriber and certain Affiliates of Subscriber (as agreed between Distributor and Subscriber) (the “Subscriber Group”).
  2. (B) In turn, Distributor and Subscriber have entered into an agreement, by which Distributor Group will, among other things, provide Subscriber Group with CME Licensed Information and may include, under the same agreement, other market data sublicensed from other exchanges (the “Distribution Agreement”).
  3. (C) This Subscriber Addendum is an addendum to the Distribution Agreement and sets forth the additional terms and conditions upon which Subscriber Group may receive and access the CME Licensed Information, but does not apply to any other market data that may be sublicensed to Subscriber Group, on behalf of any other exchange besides CME, under the Distribution Agreement.
  4. NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows.

2. Definitions

  1. The below definitions apply only to the terms set out in this Subscriber Addendum and do not amend the Distribution Agreement for any other purpose. All other capitalized terms used in this Subscriber Addendum, have the same meaning as defined in the Distribution Agreement, unless otherwise stated herein.
  2. Affiliate: an entity that controls, is controlled by or is under common control with a Party. Control means the ownership or control, directly or indirectly, of at least fifty percent (50%) or more of all of the voting shares (or other securities or rights) entitled to vote for the election of directors or other governing authority.
  3. Automated Trading System: any system or software operated by Distributor that generates and/or routes orders electronically with no, or only de minimis, human action involved in generating, sending and/or verifying orders.
  4. Benchmark Information: CME Licensed Information designated by CME as benchmark information in the Information Policies.
  5. CME Group: CME and its Affiliates.
  6. CME Licensed Information Product: certain specified instruments of CME Licensed Information, grouped as one data product, as specified in the Information Product Fee Schedule.
  7. Confidential Information: all information disclosed by the Parties in connection with this Subscriber Addendum, which should reasonably be considered as confidential because of its nature and the manner of its disclosure including but not limited to the CME Licensed Information.
  8. Day: a calendar day.
  9. Device: any display unit (fixed or portable) which has the ability to access, receives, processes or displays the CME Licensed Information, whether in whole or part, through the Service. CME reserves the sole right to determine what constitutes a Device.
  10. Distributor Group: Distributor and its Affiliates.
  11. Futures and Options on Futures Information: the CME Licensed Information that originates from Designated Contract Markets (DCM) as defined in the Commodities Exchange Act 1936 (as amended and updated) or any other equivalent legislation. Such DCMs include, but are not limited to the CME, NYMEX, COMEX, CBOT and GME, DCMs.
  12. Information Policies: the policies applicable to CME Licensed Information as set out on the CME website (currently located at www.cmegroup.com/informationpolicies) as they may be amended from time to time.
  13. Information Product Fee Schedule: the document issued by Distributor to Subscriber, describing the CME Licensed Information licensed by Distributor on behalf of CME and the corresponding fees.
  14. Internal Controls: the electronic systems (including software and hardware), network configurations, rules, procedures, and policies which, taken together and to the satisfaction of CME: (i) identify the ability to access CME Licensed Information; (ii) permit access to CME Licensed Information using a defined Unit of Count; (iii)prevent any unauthorized access to CME Licensed Information; and (iv) retain auditable records of the forgoing.
  15. Intellectual Property Rights: patents, trademarks, service marks, trade and service names, domain names, copyrights, topography rights, database rights, design rights, trade secrets and other intellectual property, proprietary or moral rights, whether or not they are registered and including all applications and rights to apply for registration, and all similar or equivalent rights, anywhere in the world.
  16. Managed User Non-Display: a Service authorized by CME that facilitates the Non-Display Use of CME Licensed Information by a Subscriber who is an individual natural person.
  17. Non-Display Use: non-viewable use of CME Licensed Information in any system, process, program, machine or calculation other than in order to display or distribute CME Licensed Information for display. Such use may include, but is not limited to, calculation of P&L, portfolio valuation, order processing, use within Automated Trading Systems and automated order routing.
  18. Person: means any natural person, proprietorship, corporation, partnership, limited liability company or other organization.
  19. Personal Data: any information relating to an identified or identifiable natural person.
  20. Privacy Center: the CME Group Inc. Privacy Center on the CME website (currently located at http://www.cmegroup.com/privacy-policy.html) as may be amended from time to time.
  21. Service: any medium provided by, or on behalf of, Distributor or a Distributor Group entity, through which the CME Licensed Information is made available.
  22. Unit of Count: the unit of measure that is used for the assessment of fees and or reporting. Unless otherwise advised by CME, Device is the default Unit of Count in respect of CME Licensed Information. If a Device is configured to access multiple Services, then each ability to access a Service on that Device will be one Unit of Count, for example, a laptop running three (3) Services shall be counted as three (3) Devices.
  23. Unless the context requires otherwise:
    ● words importing the singular shall include the plural and vice versa;
    ● words importing any gender shall include the other genders and vice versa;
    ● references to the word “include” shall mean “including, without limitation” or “including, but not limited to”;
    ● headings used are for reference purposes only and shall not affect the interpretation of this Subscriber Addendum.

3. Subscriber Addendum Term

  1. 3.1 This Subscriber Addendum is effective as of the date the CME Licensed Information was first made available by Distributor to a Subscriber Group entity and will continue until terminated in accordance with the provisions herein (the “Subscriber Addendum Term”).

4. 구독자 그룹의 CME 라이선스 정보 수신

  1. 4.1 Subject to the terms and conditions of this Subscriber Addendum, during the Subscriber Addendum Term, Subscriber Group is permitted to access CME Licensed Information via the Service and display such CME Licensed Information on a Device for its own internal business activities.
  2. 4.2 All Non-Display Use of CME Licensed Information requires a direct license with CME.

5. 내부 통제

  1. 5.1 SUBSCRIBER WARRANTS (ON BEHALF OF ITSELF AND THE REST OF THE SUBSCRIBER GROUP) TO BOTH DISTRIBUTOR AND CME, THAT DURING THE SUBSCRIBER ADDENDUM TERM, SUBSCRIBER GROUP SHALL AT ALL TIMES HAVE IN PLACE AND MAINTAIN EFFECTIVE INTERNAL CONTROLS IN ACCORDANCE WITH CME’S INFORMATION POLICIES, USING CME’S UNIT OF COUNT AND WILL MAINTAIN AUDITABLE EVIDENCE OF THE OPERATION OF THE INTERNAL CONTROLS AND SUBSCRIBER WILL AT ALL TIMES FAMILIARIZE ITSELF WITH SUCH INFORMATION POLICIES.

6. CME 라이선스 정보

  1. 6.1 Subscriber acknowledges and agrees on behalf of Subscriber Group that:
  2. (a) Subscriber Group shall not redistribute CME Licensed Information outside of Subscriber Group. Notwithstanding the forgoing, should any entity within the Subscriber Group wish to distribute CME Licensed Information outside of the Subscriber Group, then Subscriber must seek permission from CME directly. If such request is approved by CME (in its sole discretion) then each applicable Subscriber Group entity, must be licensed under a separate license agreement with CME directly, for the right to distribute the CME Licensed Information.
  3. (b) Subscriber Group shall not misrepresent CME Licensed Information or deface or remove any trademarks transmitted with CME Licensed Information.
  4. (c) Subscriber Group shall not access or use CME Licensed Information for any illegal purpose and agrees, that each Subscriber Group entity, will only access or use CME Licensed Information, in accordance with the laws and regulations of the jurisdiction in which they operate.
  5. (d) Subscriber Group shall not use the CME Licensed Information or any portion thereof, in the creation, distribution, settlement or maintenance of any derivative work (including but not limited to financial products, indexes, quotes, spot prices, curves, surfaces, contracts for difference (CFDs) and other leveraged products, futures, options on futures, indicative optimized portfolio values (IOPV), net asset value (NAV), or analytical reference figures or values calculated from CME Licensed Information for purposes of fund administration and portfolio management services, risk management services or valuation services based on the Information) unless Subscriber Group is licensed to do so by CME.
  6. (e) CME and CME licensors, hold all right, title and interest in and to CME Licensed Information and the Intellectual Property Rights in the CME Licensed Information, and in the format in which CME Licensed Information is transmitted by CME. Except for the limited license expressly granted herein, all rights not expressly licensed under this Subscriber Addendum are expressly reserved to CME and CME licensors and the ownership and Intellectual Property Rights of the CME Group entities and other CME licensors are not transferred, assigned or affected in any way by this Subscriber Addendum. Subscriber undertakes that Subscriber Group shall not carry out text and data mining, as those terms are defined in EU Directive 2017/790. Subscriber acknowledges on behalf of Subscriber Group that the reservation of rights by CME and CME licensors in this Subscriber Addendum is appropriate.
  7. (f) It consents to CME Group’s use of the Personal Data as described in the Privacy Center, and represents and warrants to CME Group, that each Subscriber Group entity, has either obtained valid consents from those individuals to whom the Personal Data relates, or has satisfied an applicable legal basis, pursuant to all applicable laws, so as to ensure that CME Group is able to process the Personal Data, as envisaged under this Subscriber Addendum and in accordance with applicable laws. Subscriber will ensure that any transfer of Personal Data from any Subscriber Group entity to CME Group, to countries other than where the individual provided its Personal Data, will satisfy all applicable laws.
  8. (g) If CME permits the Subscriber Group to redistribute CME Licensed Information, pursuant to section 6.1 (a) above, Subscriber Group shall not distribute, or permit distribution, of CME Licensed Information to any entity located in any country subject to comprehensive sanctions by the Office of Foreign Assets Control and/or identified on the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List.
  9. (h) Subscriber Group shall not use Benchmark Information other than for display on one or more Devices.
  10. (i) If Subscriber is licensed for Managed User Non-Display of CME Licensed Information (which for the avoidance of doubt will not include Benchmark Information), then Subscriber will not use the CME Licensed Information for any other purpose (including viewing the CME Licensed Information on a Device and/or the creation of derived works), without a separate license with CME or Distributor.
  11. 6.2 Subscriber accepts responsibility for Subscriber Groups compliance with the terms of this Subscriber Addendum and will cause the same to comply with the terms of the Subscriber Addendum.

7. Subscriber Reporting Obligations

  1. 7.1 Subscriber Group will maintain complete and accurate books and records, relating to all Units of Count that had the ability to access CME Licensed Information (“Records”), and retain such Records, for the most recent five (5) year period.
  2. 7.2 FOR THE AVOIDANCE OF DOUBT, THE DEFAULT UNIT OF COUNT FOR FUTURES AND OPTIONS ON FUTURES INFORMATION IS ALWAYS DEVICE (UNLESS OTHERWISE ADVISED BY CME).
  3. 7.3 In addition to any other Units of Count that Subscriber is required to report to Distributor and (unless Subscriber has otherwise agreed directly with CME), Subscriber is required to report to Distributor (or directly to CME if requested) on a date agreed between Subscriber and Distributor (or between Subscriber and CME, as applicable), the maximum number of Devices within the Subscriber Group, that have the ability to access CME Licensed Information, each month, via each Service covering each CME Licensed Information Product. For example, where CME Licensed Information constitutes Futures and Options on Futures Information, if Subscriber has ten (10) Devices that are enabled to access the CBOT DCM and five (5) of those Devices are also enabled to access the NYMEX DCM, then Subscriber must report ten (10) Devices for CBOT and five (5) Devices for NYMEX.
  4. Where Device is the default Unit of Count for the CME Licensed Information, the following rules apply:
  5. (a) Subscriber Group is required to report the total number of Services per unique Devices which are authorized by Internal Controls to access the CME Licensed Information, irrespective of whether such Device did actually access the CME Licensed Information. For example, a laptop running three (3) Services shall be reported as three (3) Devices.
  6. (b) Subscriber Group is strictly prohibited from using any “usage-based” recording system as a means for counting and reporting Devices.
  7. (c) In cases where the same Device is used for both display and Non-Display Use, the Subscriber’s reporting of such Device to Distributor under the terms of this Subscriber Addendum, does not relieve Subscriber of its obligation to license with CME directly for the Non-Display Use (unless Subscriber is directly licensed with Distributor for Managed User Non Display) and any additional reporting obligation thereunder for the Non-Display Use activity.
  8. (d) In relation to cases where an access ID is enabled to concurrently access CME Licensed Information via multiple Devices, the Subscriber must report the total number of Devices that each access ID has been enabled to access CME Licensed Information, on a per Service basis. For examples, please see the Unit of Count guides available at CME’s Market Data Policy Education Center https://www.cmegroup.com/market-data/license-data/marketdata-policy-education-center.html.
  9. (e) Subscriber Group is strictly prohibited from netting Device Units of Counts across Services or unique users, without the express written permission of CME.
  10. 7.4 Subscriber shall be liable to CME and Distributor for any unreported Units of Count identified as having the ability to access CME Licensed Information.

8. Audits

  1. 8.1 Notwithstanding the provisions of the Distribution Agreement, during the Subscriber Addendum Term and for a period of not less than twenty-four (24) months thereafter, Subscriber must produce on request, the Records and complete and accurate books and records related to Internal Controls, for the most recent five (5) year period. Distributor or CME or their authorized representatives (the “Auditor”), may inspect equipment, software and Records to verify compliance with this Subscriber Addendum.
  2. 8.2 Audits may be carried out by the Auditor, at any Subscriber Group location, during business hours, during the Subscriber Addendum Term and up to twenty-four (24) months following termination:
  3. (a) once per twelve (12)-month period on no less than thirty (30) Days’ notice; and
  4. (b) without advance notice and more than once in any twelve (12) month period, if Distributor or CME, reasonably suspects a material breach of the Subscriber Addendum by any Subscriber Group entity. All information observed during an audit will be treated in accordance with the confidentiality provisions hereunder and used only to verify compliance with the Subscriber Addendum. CME or Distributor or either of their agents, will comply with Subscriber’s reasonable safety and security rules and regulations at all times when on site at a Subscriber Group location throughout the audit.
  5. 8.3 Subscriber must pay any outstanding fees revealed by an audit to CME, and Distributor, within thirty (30) Days of receipt of an invoice from CME or Distributor and will be subject to interest at the lower of 1.5% per month or the maximum permitted by law.
  6. 8.4 If the Auditor identifies a lack of records or failure of Internal Controls such that the amount of any underreported access to the CME Licensed Information during the audit period and the applicable fees cannot be established with reasonable certainty or agreed by the Parties, CME or Distributor may appoint an independent professional auditor to determine the fees owed to Distributor or CME at Subscriber’s sole cost and expense. Distributor or CME and Subscriber will accept the determination of the appointed independent professional auditor.
  7. 8.5 If an audit reveals an underpayment, Subscriber shall bear the reasonable costs and expenses of the audit.

9. Termination

  1. 9.1 Either Party may terminate this Subscriber Addendum, or any license individually:
  2. (a) On thirty (30) Days’ written notice; or
  3. (b) With immediate effect on written notice if:
  4. (i) The other Party enters into compulsory or voluntary liquidation, has a receiver appointed, presents a petition for its winding up (or has such a petition presented by a creditor)
  5. (ii) The other Party commits a material, irremediable breach of any term of this Subscriber Addendum, which includes, but is not limited to, the following breaches by Subscriber: misrepresentation of CME Licensed Information; failure to use effective Internal Controls; failure to prevent, identify or end unauthorized use, distribution or redistribution of CME Licensed Information; or
  6. (iii) The other Party fails to remedy a material breach within thirty (30) Days of written notice to do so.
  7. 9.2 This Subscriber Addendum or any license individually shall automatically terminate, with immediate effect, if Distributor’s rights to sublicense the CME Licensed Information is partially or wholly revoked.
  8. 9.3 This Subscriber Addendum shall automatically terminate, if the Distribution Agreement itself expires or is terminated for any reason.

10. Fees

  1. 10.1 Subscriber will pay Distributor for the right to receive the CME Licensed Information, in accordance with the Distribution Agreement terms and conditions.
  2. 10.2 On occasion, Subscriber may be required to pay CME directly for access to and use of the CME Licensed Information licensed hereunder. In such circumstances, any fees paid to CME, shall be covered by a separate written agreement between CME and Subscriber, but shall only cover the receipt of the CME Licensed Information identified in that separate agreement and not any other market data received by Subscriber Group pursuant to the terms of the Distribution Agreement.

11. Covenants, Representations and Warranties of Subscriber.

  1. 11.1 Subscriber, for itself and on behalf of the rest of the Subscriber Group, covenants, represents and warrants that:
  2. (a) Subscriber Group is not (unless otherwise approved in writing by CME) engaged in the business of distributing CME Licensed Information and that, to its knowledge after reasonable inquiry, it is receiving the CME Licensed Information from Distributor who is authorized by CME to distribute the CME Licensed Information.
  3. (b) Subscriber Group will not use or permit any other person to use, CME Licensed Information for any illegal purpose and that each Subscriber Group entity, will only access or use CME Licensed Information, in accordance with the laws and regulations of the jurisdiction in which they operate.

12. CME Group as a Third-Party Beneficiary

  1. 12.1 The Distributor and Subscriber acknowledges and agrees that CME Group (only) are third-party beneficiaries of this Subscriber Addendum, and are entitled to all the rights and benefits thereunder, and may enforce the provisions of this Subscriber Addendum directly against Distributor and Subscriber Group, as if it were a party thereto.

13. Limitations Of Liability and Damages

  1. 13.1 SUBSCRIBER (FOR AND ON BEHALF OF SUBSCRIBER GROUP) AND DISTRIBUTOR (FOR AND ON BEHALF OF DISTRIBUTOR GROUP) AGREES:

(A) THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO CME GROUP ENTITY, NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONSULTANTS, OR LICENSORS SHALL BE LIABLE FOR: (A) ANY DELAY, INACCURACIES, ERRORS, OMISSIONS, OR INTERRUPTION OF ANY KIND IN RELATION TO THE CME LICENSED INFORMATION OR FOR ANY RESULTING LOSS OR DAMAGE; OR (B) LOSS OR DAMAGE ARISING FROM UNAUTHORIZED ACCESS TO OR MISUSE OF CME LICENSED INFORMATION.
  3. (B) EXCEPT AS EXPRESSLY SET OUT IN THIS SECTION, NO CME GROUP ENTITY NOR ANY CME GROUP LICENSORS, MAKE ANY REPRESENTATIONS OR WARRANTIES AND EACH HEREBY DISCLAIMS AND SHALL HAVE NO LIABILITY FOR ALL OTHER REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION TO THE MERCHANTABILITY, QUALITY OF THE CME LICENSED INFORMATION OR ITS FITNESS FOR A PARTICULAR PURPOSE, UNINTERRUPTED SERVICE OR ERROR-FREE SERVICE, OR THE SEQUENCE, TIMELINESS, ACCURACY OR COMPLETENESS OF THE CME LICENSED INFORMATION. THE CME LICENSED INFORMATION IS PROVIDED ON AN “AS IS” BASIS AT SUBSCRIBER GROUPS SOLE RISK
  4. (C) THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO CIRCUMSTANCES SHALL ANY CME GROUP ENTITY OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONSULTANTS OR LICENSORS BE LIABLE HEREUNDER TO ANY DISTRIBUTOR GROUP OR SUBSCRIBER GROUP ENTITY OR TO OTHERS DIRECTLY OR INDIRECTLY MAKING USE OF CME LICENSED INFORMATION, FOR ANY LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, ARISING UNDER THIS AGREEMENT, EVEN IF ANY DISTRIBUTOR GROUP OR SUBSCRIBER GROUP ENTITY HAS BEEN ADVISED OF THE POSSIBILITY THEREOF AND EVEN IF DUE TO CME’S ERROR, OMISSION, OR NEGLIGENCE.
  5. (D) IF THE FOREGOING DISCLAIMER AND LIMITATION OF LIABILITY SHOULD BE DEEMED INVALID OR INEFFECTIVE BY A COURT OF COMPETENT JURISDICTION, NEITHER CME GROUP, NOR THEIR RESPECTIVE MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS SHALL BE LIABLE FOR ANY OF THE FOREGOING BEYOND THE ACTUAL AMOUNT OF LOSS OR DAMAGE, OR THE SUM OF FIFTY DOLLARS ($50.00), WHICHEVER IS LESS.

14. Confidentiality

  1. 14.1 Confidential Information will be held in confidence by the receiving party and not be disclosed without the disclosing party’s consent to any third party, except to any CME Group entity, CME Group licensors and any Distributor Group or Subscriber Group entity, and each of their respective agents, consultants and third-party advisors, provided they are bound by substantially similar confidentiality provisions as are set out in this Subscriber Addendum.
  2. 14.2 Confidential Information does not include Information that:
  3. (a) at the time of disclosure is already publicly available;
  4. (b) is already known to the receiving party prior to disclosure by the disclosing party;
  5. (c) after disclosure becomes publicly available through no fault of the receiving party;
  6. (d) becomes rightfully known to either Party without restriction from another source;
  7. (e) is developed independently by the receiving party without use of the disclosing party’s
  8. Confidential Information; or
  9. (f) is required to be disclosed by order of legal or regulatory authorities, or is requested by agency action of a regulatory authority with jurisdiction over the receiving party, provided that the receiving party provides reasonable notice to the disclosing party of such required disclosure and reasonably cooperates with the disclosing party in preventing or limiting such disclosure.

15. Modification

  1. 15.1 Notwithstanding anything to the contrary hereunder, Distributor and CME may from time to time, modify and amend this Subscriber Addendum, and Subscriber agrees that Subscriber Group shall be bound by such terms upon notice. Subscriber may terminate the Subscriber Addendum upon ten (10) Days’ electronic or written notice upon such modification or amendment. By continuing to access or use the CME Licensed Information after Distributor or CME has provided Subscriber with notice of a modification, Subscriber is indicating on behalf of Subscriber Group that Subscriber Group agrees to be bound by the modified Subscriber Addendum.

16. Miscellaneous

  1. 16.1 If any part, term or provision of this Subscriber Addendum is held illegal, invalid or unenforceable, the validity or enforceability of the remainder of the Subscriber Addendum shall not be affected.
  2. 16.2 The failure of either Party (including CME Group) to exercise any right or remedy under this Subscriber Addendum or at law shall not prevent any further exercise of that right or remedy.
  3. 16.3 In the event of any conflict between the terms and conditions of this Subscriber Addendum and any other agreement relating to Subscriber's receipt and use of CME Licensed Information, including, without limitation, the Distributor Agreement, the terms and conditions of this Subscriber Addendum will prevail. Notwithstanding the forgoing, CME may amend its Information Policies at any time on at least thirty (30)) Days written notice to Distributor and Subscriber Group will be required to comply with any such amendments.
  4. 16.4 Upon any termination of the Subscriber Addendum, Subscriber Group shall discontinue any use of the CME Licensed Information, and delete any and all CME Licensed Information received under this Subscriber Addendum, including without limitation any stored CME Licensed Information. Notwithstanding the forgoing, Subscriber Group may retain CME Licensed Information for the sole purpose of complying with Subscriber Groups regulatory obligations and for only as long as is necessary to comply with such requirements and shall not use the CME Licensed Information for any other purpose during this period.

17. Survival

  1. 17.1 The Definitions, Section 12 (CME Group as a Third-Party Beneficiary), Section 13 (Limitation of Liability and Damages), Section 17 (Survival) Section 18 (Governing Law and Jurisdiction), those sections concerning CME’s Intellectual Property Rights in the CME Licensed Information and, Sections that by their nature, should reasonably survive, and any amendments to the provisions of the aforementioned, will survive any termination or expiration of this Subscriber Addendum.

18. Governing Law and Jurisdiction

  1. 18.1 This Subscriber Addendum shall be governed by the internal laws of the State of Illinois, and the federal laws of the United States, without regard to conflicts of laws principles. The Parties hereto consent and submit to the exclusive jurisdiction and venue of the state courts located in Cook County, Illinois and the U.S. District Court for the Northern District of Illinois.
